Terms of Service
1. Agreement to Terms
These Terms of Service ("Terms") are a legally binding agreement between you and MB Laimingas Verslas, a Lithuanian small partnership (mažoji bendrija) registered under company code 302630890, VAT number LT100007071010, with registered office at Didlaukio g. 80-96, LT-08326 Vilnius, Lithuania, trading as Indexhog ("we", "us", or "our"). When you create an account you must affirmatively accept these Terms and the Privacy Policy by ticking the required checkbox; that submission constitutes a binding electronic signature. If you do not agree, do not use the service.
Business use only. The service is offered exclusively to persons acting for purposes relating to their trade, business, craft, or profession, including sole traders and freelancers. It is not offered for personal consumer use. By creating an account, accepting an invitation, or making a purchase, you represent that you are acting for such business or professional purposes and have authority to bind the organisation you represent.
2. Service Description
Indexhog is a search indexing and monitoring service for website owners. It discovers a URL inventory from your sitemaps and imports, submits new and changed URLs to search engines via IndexNow, probes URLs for transport health, audits them for indexability, reads per-URL index state from search engine accounts you connect, raises issues, and exposes the same data through an API, an MCP server, and a CLI. Provider-backed page inspections consume credits. Core project, inventory, submission, and engine-connection features are included; API, MCP, collaboration, and governance features require active Business access.
What submission does and does not do. IndexNow notifies participating search engines, currently including Bing, Yandex, Naver, and Seznam. Google does not participate in IndexNow, so we cannot and do not submit your URLs to Google. Where you connect Google Search Console, we read the index state Google reports; that is an observation, not a submission. No search engine is obliged to crawl, index, or retain any URL, and we make no representation that submission or monitoring will result in indexing, ranking, or traffic of any kind.
The service is provided "as is" and on a best-effort basis. We may modify, suspend, or discontinue any part of the service at any time; for material reductions affecting a paid product we will give reasonable notice where practicable and, at our discretion, a refund of the affected purchase.
3. Domain Authorisation, Verification, and Crawling
You may register a domain as a project only if you own it or are authorised by its owner to monitor it and to submit its URLs to search engines. You represent and warrant that this is the case for every domain and URL you add, import, or submit, and you remain responsible for it for as long as the project exists. Registering a domain you do not control is a material breach of these Terms.
Before automated work begins, a project must prove ownership through one of the supported signals: a DNS TXT record, an IndexNow key file hosted at your domain, or a connected Google Search Console or Bing Webmaster Tools property.
By registering a project you authorise us and our service providers to make automated HTTP requests to that domain — including its robots.txt, sitemaps, and the URLs in its inventory — at the inspection cadence you select, with separate retries after failed requests. You are responsible for any bandwidth, origin load, or third-party infrastructure cost these requests cause. We may suspend a project or an account that generates credible abuse complaints from a site operator.
4. Account Registration
You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and have full legal capacity to create an account. You agree to provide accurate information, keep your credentials confidential, notify us at [email protected] of any unauthorized access, and accept responsibility for all activity on your account. We may suspend or terminate accounts used for fraudulent, abusive, or malicious purposes without notice or refund.
5. Your Responsibilities
You are solely responsible for:
- The domains, URLs, imported URL lists, project settings, organisation data, and any other content you submit, and your authority to submit them.
- The security of the credentials you connect — Search Console access, Bing Webmaster API keys, IndexNow keys, our API keys, and OAuth tokens — and for revoking them when they are no longer needed.
- Independently verifying any finding before acting on it. Health states, indexability verdicts, and index states are observations of systems we do not control.
- Maintaining your own copies of inventory, issue, or submission data you consider important. We do not guarantee data persistence and cannot recover data after account deletion, retention purges, or service interruption.
- Compliance with all applicable laws, with the terms of any search engine you connect, and with any taxes imposed on your use of the service other than taxes on our net income.
6. Organisations, Projects, and Capacity
Users may create organisations and manage projects within them. Organisation administrators are responsible for managing members, roles, and permissions, and for promptly addressing violations of these Terms committed by members under their control.
Every workspace may hold up to 100 projects and each project up to 100,000 tracked URLs. Pausing a project stops scheduled work but does not remove it or free project capacity. Solo workspaces have one member. Business workspace access sets the purchased member cap and enables collaboration and governance features; it does not include inspection credits or change processing priority.
7. Payments, Business Access, and Credits
Core indexing workflows do not require a subscription. Inspection credits are sold as one-time packs. Optional Business access is billed monthly or annually through Stripe; by purchasing it you authorise recurring charges until cancellation. The price, quantity, and taxes are shown at checkout before confirmation.
- Business cancellation: Business access begins on successful payment. You may cancel at any time; cancellation takes effect at the end of the current billing period. Core project data and unused, unexpired inspection credits remain available.
- Credits: one credit funds one completed provider-backed inspection of one URL. Discovery, sitemap parsing, manual additions, imports, submissions, and search-engine scheduling do not consume credits. A valid response remains billable evidence even when it reports a redirect, block, noindex directive, or HTTP error. If the provider or our system fails to complete the inspection, the reserved credit is restored to the same original credit lot. Credits are spent earliest-expiry-first, expire 12 months after purchase, have no cash value, and are not transferable.
- Submissions and indexing: submission requests and provider acceptance are recorded separately from indexing. We do not promise that a provider will accept a URL, index it, retain it, rank it, or do so by a particular date.
- Refunds: payments are non-refundable, except for the following voluntary goodwill policy. We may approve one full refund requested at [email protected] within 14 calendar days where the specific purchase remains unused: no credit from a refunded pack has been consumed, or no additional member or Business-only capability has been used for a refunded first Business payment. Renewals and partially used purchases are ineligible. This policy is discretionary and creates no statutory consumer withdrawal right. A refund or chargeback reverses the matching purchase and removes its remaining unconsumed credits; partial refunds are not supported.
- Price changes, taxes, chargebacks: we give at least 30 days' notice of price changes. Prices for the service are displayed exclusive of VAT and similar sales, use, or consumption taxes; applicable taxes are calculated and added at checkout based on your billing location and tax status (including reverse-charge rules for business customers with a valid VAT identification number in the European Union). The total amount payable, inclusive of any applicable taxes, is shown on the payment page before you confirm your purchase. If a payment is disputed with your card issuer, we may suspend access to paid features while the dispute is open; contacting [email protected]first is usually faster and lets us resolve it directly.
- Lapsed Business access: when Business access ends or payment fails, Business-only collaboration and governance features stop. Core indexing workflows and data remain, subject to the retention windows in our Privacy Policy.
8. Accuracy of Monitoring Data
Health states, indexability verdicts, index states, issues, and counters are observations produced by automated fetches and by third-party APIs. They may be incomplete, delayed, or wrong — because a site changed between checks, because an origin or WAF answered our crawler differently than it answers a search engine, because robots.txt or directive parsing differs from a given engine's interpretation, or because a search engine returned stale or partial data. Nothing we report is a statement by a search engine about your site, an SEO recommendation, or professional advice. You are solely responsible for independently verifying any finding before acting on it.
9. Your Content and Licence
As between you and us, the content you submit — project configuration, URL lists, uploaded import files, organisation data — remains yours. We do not claim ownership of it.
You grant us a non-exclusive, worldwide, royalty-free licence to use, store, process, and transmit that content solely as necessary to operate, secure, and support the service, including transmitting URLs you submit to search engines as described in section 2. This licence does not permit us to publish or market your content. You represent and warrant that your content is lawful, non-infringing, free of malware, and may lawfully be submitted by you. We may remove content or disable projects that violate these Terms. Feedback or suggestions you submit about the service may be used by us freely for any purpose without compensation or attribution.
10. Acceptable Use
You agree not to:
- Use the service unlawfully or to submit false or misleading information.
- Register, monitor, or submit URLs for any domain you do not own or are not authorised to act for.
- Use monitoring or submission to load-test, overwhelm, probe, or otherwise disrupt any website, whether yours or a third party's.
- Use submissions for spam, cloaking, link schemes, or any practice prohibited by a search engine's own guidelines.
- Attempt to access other accounts or organisations, scrape the platform itself, or circumvent rate, credit, project, seat, or submission limits, including by creating multiple accounts or organisations to obtain additional capacity.
- Reverse-engineer, decompile, or disassemble the platform or attempt to extract its source code, except where the right to do so for interoperability or error correction cannot be excluded under applicable law (including Directive 2009/24/EC Art. 5(3) and 6).
Violation may result in immediate termination without notice or refund.
To report content that infringes your rights or is otherwise illegal, use the mechanism described in our Copyright and Content Reports policy.
11. API, OAuth, MCP, and CLI Access
API keys, OAuth integrations, the MCP server, and the CLI are subject to these Terms and any additional API-specific terms we publish. API keys and tokens are confidential — you must not share them publicly or commit them to public repositories. We may rate-limit, suspend, or revoke access if usage indicates abuse or threatens service stability.
12. Search Engine Connections
Connecting Google Search Console or Bing Webmaster Tools authorises us to call those APIs with your credentials to read index state for the property you selected. We request read-only Search Console access, store engine credentials encrypted, and use the retrieved data only to provide the service to you. Your use of those services remains governed by Google's and Microsoft's own terms and privacy policies, and it is your responsibility to comply with them and to hold the necessary rights over the property you connect. You may disconnect at any time; we may lose access without notice if you revoke it, if the engine changes its API, or if the engine suspends your account, and we are not liable for the resulting gaps in data.
13. Intellectual Property
All content and software of the platform (excluding your content) is owned by or licensed to us and protected by intellectual property law. You may not copy, modify, or create derivative works from the platform without our written permission. The name "Indexhog" and related marks are our property.
14. Third-Party Services
The platform integrates with third-party services. The categories of provider we use, and the ones you interact with directly, are listed in our Privacy Policy; the search-engine and IndexNow transfers inherent to the product are described there too. We may replace any provider with an equivalent service at any time. Your use of these services is subject to their own terms and privacy policies, and we are not responsible for their availability or behaviour.
15. Disclaimers, Availability, and Force Majeure
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OPERATION. We do not offer a formal uptime guarantee or SLA, and we do not guarantee that any check will run at a particular time, that any URL will be submitted, crawled, or indexed, or that engine data will be available. The service may be delayed or unavailable due to maintenance, bugs, upstream provider outages, search engine API changes or quotas, or events beyond our reasonable control (including acts of God, war, pandemic, internet outages, or failures of hosting, analytics, email, or payment providers). We are not liable for any loss arising from unavailability, delay, missed alerts, or data loss. Where a jurisdiction does not permit exclusion of certain warranties, those warranties are limited to the minimum extent permitted by law.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Indexhog AND ITS DIRECTORS, OFFICERS, SHAREHOLDERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, SEARCH RANKINGS, OR TRAFFIC, OR ANY DAMAGES FROM RELIANCE ON MONITORING DATA OR FROM A MISSED OR DELAYED ALERT. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE LESSER OF (A) THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).
Nothing here excludes liability for fraud, gross negligence, wilful misconduct, or liability that cannot be excluded under applicable law.
17. Indemnification
You agree to indemnify and hold harmless Indexhog, its directors, officers, shareholders, employees, contractors, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, your content or project configurations, your violation of these Terms or any third-party right, any decision made in reliance on monitoring data, and any claim by the operator of a website you registered, monitored, or submitted without authorisation, including claims relating to the load our fetches placed on that website.
18. Termination
Either party may terminate at any time. You may close your account from account settings or by contacting [email protected]. We may suspend or terminate your access immediately, without notice or refund, if you materially breach these Terms or abuse the service. Upon termination your right to use the service ceases immediately, monitoring and submission stop, and data associated with your account will be deleted in accordance with the retention schedule in our Privacy Policy. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) continue in effect.
19. Governing Law and Dispute Resolution
Our single point of contact for recipients of the service and for authorities, under Articles 11 and 12 of Regulation (EU) 2022/2065, is [email protected]. Communication in English is accepted.
These Terms are governed by the laws of the Republic of Lithuania. Disputes should first be raised at [email protected]; if not resolved within 30 days they shall be submitted to the competent courts of Lithuania.
20. Changes, Severability, and Contact
We may update these Terms from time to time. Material changes will be notified by email or in-product notice; continued use after they take effect constitutes acceptance. If any provision is held unenforceable, it will be limited or eliminated to the minimum extent necessary and the rest will remain in force. For questions about these Terms, contact [email protected].
